Terms of Service

These Terms govern your access to and use of the EZChat website, application, messaging platform, AI tools, integrations, and related support services.

1. Acceptance

By accessing the website, creating an account, or using EZChat, you confirm that you have read, understood, and agree to these Terms. If you use the services on behalf of a company or organization, you represent that you are authorized to accept these Terms for that entity.

If you do not agree to these Terms, you must stop using EZChat.

2. Accounts and Responsibilities

  • Provide accurate, complete, and current registration, billing, and contact information.
  • Protect your login credentials and remain responsible for activity under your account.
  • Do not share accounts with unauthorized people or bypass roles, permissions, or security controls.
  • Notify EZChat promptly if you suspect unauthorized account access.

3. Use of Services

You may use EZChat according to your selected plan and these Terms to manage customer conversations, team collaboration, broadcasts, automations, analytics, AI assistants, and third-party integrations.

You are responsible for complying with applicable laws, communication platform policies, anti-spam rules, data protection requirements, and recipient consent requirements.

4. Prohibited Conduct

  • Send spam, scams, phishing content, malware, harassment, or illegal content.
  • Collect, upload, or process personal information without proper authority.
  • Attempt to hack, disrupt, scan, reverse engineer, or bypass security controls.
  • Misuse AI, broadcast, or automation features to mislead, impersonate, or harm others.
  • Use the services in violation of Meta, WhatsApp, Google, payment provider, or other third-party policies.
  • Use the services to build a competing product or bulk extract platform data without written permission.

5. Customer Content and Data

You retain rights to the content, contacts, messages, and business data you submit to EZChat. You authorize EZChat to process that data as needed to provide, secure, support, and improve the services.

You confirm that you have the necessary rights, permissions, and consents for EZChat to process customer data and send messages on your behalf.

6. Fees, Payment, and Cancellation

Some services require payment. You agree to pay the fees shown in your selected plan, order, invoice, or platform checkout. Third-party communication or payment providers may charge separate fees.

Unless otherwise agreed in writing, paid fees are generally non-refundable. You may cancel according to your plan rules, and cancellation usually takes effect at the end of the current billing period.

7. Third-Party Services

EZChat may integrate with WhatsApp Business, Meta, Google, payment platforms, cloud services, and other third-party tools. Your use of third-party services is also subject to their terms and policies.

Third-party availability, pricing, approvals, policy changes, or feature changes may affect EZChat functionality. We are not responsible for third-party actions or failures.

8. Intellectual Property

The EZChat website, software, interface, workflows, designs, trademarks, documentation, and related technology are owned by EZChat or its licensors. Except as expressly allowed by these Terms, you may not copy, modify, distribute, sell, rent, or reverse engineer any part of them.

9. Suspension and Termination

We may suspend or terminate your account or services if you breach these Terms, create security or legal risk, fail to pay fees, misuse the services, or if a third-party platform requires restricted access.

After termination, you remain responsible for fees incurred before termination and must stop using EZChat services.

10. Disclaimers and Limitation of Liability

EZChat is provided on an “as is” and “as available” basis. We work to provide reliable services, but we do not guarantee uninterrupted, error-free, or fit-for-every-purpose operation.

To the maximum extent permitted by law, EZChat is not liable for indirect, incidental, special, punitive, or consequential losses, including lost profits, revenue, goodwill, data, or business opportunities.

11. Updates, Governing Law, and Contact

We may update these Terms from time to time. Continuing to use the services after updated Terms are posted means you accept the updated Terms.

These Terms are governed by the laws of Hong Kong. The parties agree to first try to resolve disputes related to these Terms or the services through good-faith discussion.
